Terms of Service
These Terms of Service ("Terms") govern your use of the Glia practice-management platform (the "Platform") and the glia.health website, both operated by Glia Health ("Glia," "we," "us," "our"). By creating an account or using the Platform, you agree to these Terms.
1. Accounts
To use the Platform you must create an account, provide accurate information, and keep your credentials secure. You're responsible for everything that happens under your account. If you're signing up on behalf of a healthcare organization, you represent that you have authority to bind that organization to these Terms.
2. Who can use the Platform
The Platform is intended for licensed healthcare providers operating in the United States, their staff, and the patients those providers serve. You must be at least 18 years old to create a staff or admin account. Minors may be added as dependents on a family account by a parent or legal guardian.
3. Business Associate Agreement
If you're a healthcare organization and you handle protected health information (PHI) on the Platform, you must execute a Business Associate Agreement (BAA) with Glia before going live. The BAA is separate from these Terms and governs our handling of PHI on your behalf. Where the BAA conflicts with these Terms, the BAA controls for PHI.
4. Fees and billing
The Platform is offered on a subscription basis at the rates published at glia.health/#pricing or otherwise agreed in writing. Fees are billed in advance. You authorize us to charge your payment method on a recurring basis until you cancel. Fees are non-refundable except where required by law.
You may cancel your subscription at any time. Access continues through the end of the current billing period.
5. Patient billing through Stripe
If you use Glia to bill patients, you do so through your own Stripe Connect account. Patient payments flow directly to you, not through Glia. You are responsible for your Stripe account, including verification, refunds, disputes, and tax handling. Stripe's terms apply to your Stripe account in addition to these Terms.
6. Your content and data
You retain all rights to the data you and your patients put into the Platform. You grant Glia a limited license to host, process, transmit, and back up that data solely to provide the Platform to you.
You represent that you have the right to submit the data you put into the Platform, that you've obtained any necessary patient consents, and that your use of the Platform complies with HIPAA, your state's medical-records laws, and any other applicable regulation.
7. Acceptable use
You agree not to:
- Use the Platform for anything other than legitimate healthcare operations.
- Share your credentials or permit unauthorized access.
- Attempt to probe, reverse-engineer, or disrupt the Platform, outside of good-faith security research reported per our responsible disclosure policy.
- Upload content that infringes anyone's rights, is fraudulent, or violates applicable law.
- Use the Platform to deliver care outside your licensed scope or jurisdiction.
8. Availability
We work to keep the Platform available and reliable, and we'll give advance notice of scheduled maintenance where we can. We don't guarantee uninterrupted service in these Terms. If you need a specific uptime commitment, we can discuss a separate agreement.
9. Changes to the Platform
We may add, modify, or remove features, and we'll try not to break the things you rely on. For material reductions in functionality, we'll give reasonable advance notice.
10. Termination
You may stop using the Platform and close your account at any time. We may suspend or terminate your account for material breach of these Terms, non-payment, or legal requirement. On termination, we'll work with you on a final data export and on deleting your data in line with your BAA and applicable law.
11. Disclaimers
The Platform is provided "as is" and "as available." Glia is a software platform; we are not a healthcare provider, we don't render medical advice, and we don't supervise the care you provide. Clinical decisions are yours.
To the maximum extent permitted by law, Glia disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as expressly set out in your BAA.
12. Limitation of liability
To the maximum extent permitted by law, Glia is not liable for indirect, incidental, consequential, special, or punitive damages. Glia's total liability for any claim arising out of these Terms is limited to the fees you paid to Glia in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that can't be excluded under applicable law, including under your BAA.
13. Indemnification
You agree to defend and indemnify Glia from third-party claims arising out of your use of the Platform in violation of these Terms, your BAA, or applicable law.
14. Changes to these Terms
We may update these Terms from time to time. We'll update the "Last updated" date above and, for material changes, give advance notice through the Platform or by email. Your continued use after changes take effect means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the jurisdiction in which Glia is established, without regard to conflict-of-laws principles.
